Terms of Service

1. Agreement
These Terms of Service (“Terms”) constitute a binding agreement between DialDesk AI LLC (“DialDesk AI,” “we,” “us”) and you, the business entity or individual (“Client”) using our AI voice dispatcher services. By executing a service agreement or using our services, you agree to these Terms.
2. Service Description
DialDesk AI provides AI-powered voice dispatcher services that answer inbound phone calls on behalf of Client businesses operating in the HVAC and plumbing trades. The service captures caller information, flags urgent calls, and delivers lead summaries to the Client via SMS. Services are provided on a month-to-month basis.
3. AI Voice Disclosure
Client acknowledges that DialDesk AI's service uses AI-generated voice technology to handle calls. Client is responsible for ensuring compliance with any applicable federal, state, or local laws requiring disclosure of AI-generated voice to callers. DialDesk AI will configure an AI identification disclosure in Client's greeting script upon request and for jurisdictions where such disclosure is required by law.
4. Call Recording
All calls handled by DialDesk AI are recorded for quality assurance and service improvement purposes. Client is responsible for compliance with applicable call recording consent laws in their jurisdiction:
- Florida Clients: Florida Statute § 934.03 requires all-party consent for call recording. DialDesk AI will configure a recording disclosure announcement in your AI dispatcher greeting by default. Client must not disable or remove this disclosure.
- Texas, Arizona, Georgia Clients: These are one-party consent states. Recording is permitted with the consent of one party (DialDesk AI acting on Client's behalf).
- Clients operating across state lines are responsible for ensuring compliance with the strictest applicable recording law.
5. TCPA and Inbound Calls
DialDesk AI handles inbound calls only — callers who dial the Client's forwarded number. Callers initiating contact with a business are generally considered to have consented to standard business call handling. Client is solely responsible for compliance with the Telephone Consumer Protection Act (TCPA) and all applicable regulations in connection with any outbound follow-up calls Client makes to leads captured by DialDesk AI. DialDesk AI makes no representations regarding Client's TCPA compliance for outbound communications.
6. Payment and Billing
- Monthly subscription fees are due in advance on the first day of each billing period.
- A one-time setup fee ($300–500 depending on configuration complexity) is due upon agreement execution. Setup fees are non-refundable.
- Minute overages ($0.35 per minute beyond the plan limit) are invoiced within 5 business days of each month end.
- DialDesk AI will alert Client via SMS when minute usage reaches 80% of the plan limit.
- Invoices unpaid after 14 days may result in service suspension. Service reinstatement requires payment of all outstanding balances.
7. Free Trial
New Clients receive a two-week free trial period from the service go-live date. During the trial period, the subscription fee is waived; the setup fee remains due. At the end of the trial, the monthly subscription will commence automatically unless Client cancels in accordance with Section 9.
8. Service Level and Uptime
DialDesk AI targets 99.9% uptime for the AI voice dispatcher service. In the event of extended downtime exceeding 4 consecutive hours due to causes within DialDesk AI's control, Client may request a pro-rata credit for the affected period. DialDesk AI is not liable for service interruptions caused by Twilio, Retell AI, telecommunications carriers, or other third-party infrastructure providers.
9. Cancellation
Either party may cancel this agreement with 30 days' written notice sent to ibrahimawab@gmail.com. Upon cancellation: (a) service will continue through the end of the current paid period; (b) Client's Google Sheet lead data remains accessible to Client; (c) DialDesk AI will release the Client's dedicated phone number within 30 days (phone numbers are owned and provisioned by DialDesk AI and cannot be transferred to Client).
10. Data Ownership
Client owns all lead data captured in their Google Sheet. DialDesk AI owns all phone numbers, AI dispatcher configurations, and service infrastructure. Upon termination, DialDesk AI may delete Client configuration data after 90 days.
11. Limitation of Liability
DialDesk AI's total liability to Client for any claim arising under or related to these Terms shall not exceed the total fees paid by Client in the three months preceding the claim. DialDesk AI shall not be liable for any indirect, incidental, special, or consequential damages, including lost revenue or missed business opportunities. DialDesk AI makes no guarantee that the AI dispatcher will capture every lead or prevent every missed call.
12. Client Conduct
Client agrees not to use the service for any unlawful purpose, to configure the dispatcher in a misleading manner, or to violate any applicable law. DialDesk AI reserves the right to terminate service immediately for material violation of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute shall be resolved in the courts of Texas, and both parties consent to personal jurisdiction in Texas.
14. Changes to Terms
DialDesk AI may update these Terms by providing 30 days' written notice to active Clients. Continued use of the service after the notice period constitutes acceptance of the updated Terms.
